Integrating an Acquisition into an Existing Business

Prior to the purchase Sarah was involved with the pre-purchase discussions with the staff at Finsbury Healthcare and aspects of the Due Diligence. Following the purchase she was responsible for integrating Finsbury Healthcare into the Group and evaluating detailed operations of the new purchase and the Group to identify and implement the best practices.

Finsbury Healthcare is a private medical centre providing GP services, travel health, health  screening and physiotherapy to companies and their staff in the City of London and was acquired by General Medical Clinics PLC (GenMed) in November 2004. 

Finsbury Healthcare provided the same services as the three centres already owned and operated by GenMed, however the way these services were provided and charged for differed in most cases. Twenty five staff transferred from Finsbury Healthcare under TUPE and as the centre had had 3 previous owners there were considerable variations in the contracts of employment and benefits amongst those that transferred.

Sarah lead a review of all processes across the existing three original General Medical Clinics medical centres and the newly purchased centre using working parties of appropriately qualified staff - across all centres. The aim was:

Changes were then implemented across the whole group.  The process included reviewing suppliers (eg pathology, imaging, health screening providers outside London etc), retendering of contracts and a full pricing review was undertaken (see Pricing Review). The aims were achieved.
